This organisation is a prominent financial services provider in Australia, specialising in investment and retirement solutions. The role of NED is a unique opportunity to contribute to the strategic direction and governance of the organisation, which operates within an APRA-regulated sector. The ideal candidate will bring a wealth of experience, strategic insight, legal, risk management and compliance insight in a APRA regulated organisation and a commitment to uphold organisational values and objectives.

Required Skills, Qualifications, and Attributes

  • Exceptional ability to establish and maintain strong, professional relationships with Board members, the CEO, and Senior Management, demonstrating respect, business acumen, and sector-specific knowledge to facilitate robust discussions.
  • Proven success as a business leader with a strong legal background, ideally possessing experience in mergers and acquisitions (M&A) and/or business development.
  • 10 + years demonstrated experience as a Non-Executive Director or in a Board position, with experience in small to medium enterprises (SMEs) being desirable.
  • Interest or experience in finance and banking is advantageous.
  • Ability to provide strategic guidance within a Board setting.
  • In-depth understanding or significant experience with the requirements, governance, and compliance standards of APRA-regulated entities within a modern business environment.
  • Skilled in navigating complex business challenges, including restructuring business models and managing people in transformational settings.
  • Familiarity with contemporary business and Board priorities such as sustainability, ESG, data security, technology, and risk management.
  • A proactive approach to staying informed about industry trends and organisational developments.
  • Ability or experience in chairing a Board Committee is highly valued as the Board embarks on a renewal process.
  • Understanding of a Director’s ethical, fiduciary, and financial responsibilities.
  • Ideally a Graduate of the Australian Institute of Company Directors (AICD).

Key Responsibilities/Commitments:

  • Attend one 6-hour Board meeting per month for 10 months annually.
  • Participate in approximately 15 days of Board, AGM, and Committee meetings each year.
  • Overnight stays may be required for interstate Directors attending meetings in Adelaide.
  • Contribute additional time for the annual Strategy and Risk Appetite Meetings, which span 1.5 days and may require up to 2 nights in Adelaide.
  • Attend the Annual General Meeting (AGM) in late November in Adelaide.
  • Maintain regular communication between Board meetings.
  • Stay informed of developments within the industry and governance practices relevant to APRA-regulated entities.
  • While there is no geographic preference, being based in Adelaide is an advantage.
