A leading financial institution in Melbourne is seeking a highly skilled Company Secretary to manage the effective governance and corporate compliance of its Australian subsidiaries. This role offers you the opportunity to work within a supportive and knowledgeable team, where your expertise will be valued and your contributions will directly impact the organisation’s commitment to best practice governance. This is a 12-month contract that offers hybrid-working and flexible working.

What you'll do:

  • Manage the operation of each Australian subsidiary board within your portfolio
  • Providing company secretariat services and ensuring compliance
  • Prepare detailed minutes for board meetings, maintain up-to-date corporate records, and ensure timely completion of ASIC filings
  • Advise Chairs and boards of Australian subsidiaries on governance matters
  • Undertake additional corporate governance tasks assigned by the Head of Subsidiary Governance
  • Proactively manage risk, performing controls and escalating issues or breaches as identified
  • Mentor junior members of the Subsidiaries Team, fostering their development through knowledge sharing, guidance on best practices, and encouragement of continuous improvement.
  • Collaborate closely with directors (including executive level staff and independent non-executive directors), Group Finance & Treasury, Corporate Advisory Legal, Group Governance, Strategy & Innovation teams, and key business contacts relevant to the subsidiaries.
  • Ensure quality agendas and meeting packs are prepared for subsidiary boards
  • Contribute actively to team culture by engaging in development initiatives

What you bring:

  • You bring over five years’ experience as a Company Secretary within a complex environment
  • You are available at short notice
  • You possess strong written and oral communication skills
  • Your technical proficiency encompasses operating corporate governance accountabilities
  • You are adept at quickly grasping complex topics or issues so that you can provide accurate guidance on Board engagement matters or draft precise minutes under pressure
  • Your ability to meet tight deadlines and balancing multiple tasks
  • You are self-motivated yet know when escalation is necessary—your ability to work independently is matched by your willingness to seek support from People Leaders when appropriate
  • You drive to seek better ways of working while mentoring junior colleagues in best practice approaches
  • Your interpersonal skills enable you to influence stakeholders gently but effectively
